Purchase - Sale Agreement

This purchase and sale agreement for goods in the online store JANITAPLUNGE.COM (the Agreement) is concluded under the terms set out below between the Seller, which is KIKA LT, UAB, with its registered office at Maironio g. 11, 44298 Kaunas, company code 133095117, VAT code LT330951113, and the Buyer, who may be (i) any legally capable adult individual, or (ii) a minor between the ages of 14 and 18 with parental or guardian consent, unless emancipated, or (iii) a legal entity.

The Agreement is considered concluded from the moment the Buyer submits an order on the JANITAPLUNGE.COM website. The version of the Agreement in effect at the time of order submission applies to that order.

GENERAL TERMS AND CONDITIONS

1.1. Under this Agreement, the Seller undertakes to sell goods to the Buyer for the Buyer's personal, family, or household needs unrelated to business, trade, craft, or profession, and the Buyer undertakes to accept the goods and pay the price indicated in the product description and VAT invoice, which are integral parts of this Agreement.

1.2. By placing an order and thereby entering into this Agreement, the Buyer confirms that they have read and agree to the information provided in writing by the Seller in the online store regarding the offered product, the Seller, the price of the product and its delivery, the period during which the offer and price are valid, the procedure for exercising the Buyer's right to withdraw from the agreement under Article 6.22810 of the Civil Code of the Republic of Lithuania, the payment and delivery procedure, the warranties provided by the Seller, and the terms of this Agreement.

1.3. The Seller reserves the right to amend, correct, or supplement this Agreement and the information provided in the online store without prior notice or the Buyer's consent. Accordingly, the Buyer must review all information provided by the Seller each time they shop at the JANITAPLUNGE.COM online store.

2. PURCHASE AND SALE PROCEDURE AND CONDITIONS

2.1. After placing an order at the JANITAPLUNGE.COM online store, the Buyer makes payment in the manner and within the timeframes set out in this Agreement, after which they receive an email confirmation from the Seller that the order has been accepted and payment received.

2.2. Product prices are indicated in the product descriptions on the JANITAPLUNGE.COM online store and in the generated order. Prices are stated in euros inclusive of VAT.

2.3. The Buyer may pay for goods purchased at JANITAPLUNGE.COM in the following ways:

2.3.1. Via the Buyer's online banking system at the time of purchase. Each payment institution charges a service fee, the amount of which the Buyer may enquire about at that institution. Responsibility for data security in this case lies with the respective payment institution, as all monetary transactions take place within that institution's online banking system.

2.3.2. By payment card.

2.3.3. By advance invoice at a bank branch of the Buyer's choice. Each payment institution charges a service fee, the amount of which the Buyer may enquire about at that institution.

2.4. Upon receiving the Buyer's order and payment, the Seller prepares the ordered goods for dispatch no later than the next business day.

2.5. If the Buyer fails to pay for the goods within the deadline indicated on the advance invoice, the Seller cancels the Buyer's order and does not transfer the goods to the Buyer.

2.6. Payments may be made using the online banking services of Swedbank, SEB, Luminor, Citadele, and Šiaulių Bankas. Payments are accepted in euros. Payments are processed via the MakeCommerce.lt payment platform.

3. DELIVERY PRICE, DELIVERY, AND ACCEPTANCE OF GOODS

3.1. The delivery procedure and rates in Lithuania are available at: https://janitaplunge.com/pages/prekiu-pristatymas

3.2. Delivery of goods:

3.2.1. Goods purchased at JANITAPLUNGE.COM are delivered by courier to the address specified by the Buyer within the territory of the Republic of Lithuania, or to an Omniva or Smartpost parcel locker designated by the Buyer.

3.2.2. Goods are delivered within 1–3 business days if the ordered item is in the Seller's warehouse. Delivery within the stated timeframe is only guaranteed once the Seller has received payment for the goods.

3.2.3. If the ordered goods are not in the Seller's warehouse and the Seller is unable to obtain them, the Seller shall promptly notify the Buyer and refund all payments made as soon as possible, but no later than thirty calendar days from the date on which the Seller became or should have become aware that the goods could not be obtained.

3.2.4. If the ordered goods are not in the Seller's warehouse but can be obtained, the Seller shall notify the Buyer upon receiving the order and indicate the expected delivery timeframe. In this case, delivery may not exceed 30 days from the date of conclusion of the Agreement.

3.2.5. If the ordered goods are not in stock and are ordered directly from a supplier for the Buyer, the Seller shall notify the Buyer upon receiving the order and indicate the expected delivery timeframe. In this case, delivery may not exceed 16 weeks from the date of conclusion of the Agreement.

3.2.6. Before delivering the goods, the courier will contact the Buyer using the contact details provided and arrange a convenient delivery time.

3.2.7. If delivery is impossible due to the Buyer's fault or circumstances attributable to the Buyer (e.g., incorrect address provided, Buyer not available at the specified address, etc.), the goods will not be re-sent (unless the Buyer pays an additional re-delivery fee), and the purchase price will be refunded minus the delivery charge.

3.4. Acceptance of goods:

3.3.2. Upon receiving the goods, the Buyer must inspect them and, if there are no complaints regarding quality, confirm in the goods receipt document that the goods have been properly delivered.

3.3.3. If the Buyer has any complaints regarding the quality, quantity, completeness, or other aspects of the received goods, a complaint may be submitted by email to info@janitaplunge.com within 14 days of delivery. If no complaint is submitted within this period, the packaging is deemed appropriate and the quantity, external quality, assortment, and completeness are deemed to comply with the Agreement.

4. PRODUCT WARRANTIES

4.1. Contractual warranty: A quality warranty meeting statutory requirements is established by the Seller and/or the manufacturer, distributor, supplier, importer, or any other person distributing goods in their own name. If such a warranty applies, it is indicated in the product description.

In this case, where a warranty period has been established, claims regarding product defects may be made if the defects are identified within the warranty period. If a component part has a shorter warranty period than the main product, claims regarding defects in that component may still be made within the main product's warranty period. If a component part has a longer warranty period than the main product, claims for defects in that component identified within its warranty period may be made even after the main product's warranty has expired.

4.2. Shelf-life warranty: Where a product has an established shelf life, the Buyer may submit claims regarding defects within that shelf-life period.

4.3. Statutory warranty: Where no quality guarantee or shelf-life period has been established, the Buyer may submit claims regarding product defects within a reasonable period, but no later than two years from the date of delivery, unless other legislation provides for a longer period.

4.4. Warranty for replaced goods: When goods or component parts are replaced during the warranty period, no new warranty period begins — the original warranty of the main item continues.

5. PROCEDURE FOR THE BUYER'S RIGHT TO WITHDRAW FROM THE AGREEMENT

5.1. The Buyer has the right to withdraw from this remotely concluded Agreement within 14 (fourteen) days without giving any reason, by notifying the Seller accordingly.

5.2. If the Buyer decides to exercise their statutory right of withdrawal, they must notify the Seller in writing by submitting a completed withdrawal form or a clear statement expressing their decision to withdraw. The completed withdrawal form or statement must be submitted to the Seller via the contact details and addresses provided under the "Contacts" section of the JANITAPLUNGE.COM online store.

5.3. If the withdrawal notice is submitted electronically, the Seller will promptly confirm receipt by sending an email to the address provided by the Buyer.

5.4. The Buyer must return or hand over the goods to the Seller promptly and no later than fourteen days from the date of submitting the withdrawal notice. The direct costs of returning the goods are borne by the Buyer.

5.5. The Buyer may not withdraw from a remotely concluded Agreement in the cases listed in Article 6.22810(2) of the Civil Code of the Republic of Lithuania:

5.5.1. Goods manufactured according to the Buyer's specifications or clearly personalised;

5.5.2. Goods that deteriorate rapidly or have a short shelf life;

5.5.3. Sealed goods that are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery;

5.5.4. Goods that, after delivery, are by their nature inseparably mixed with other items;

5.5.5. Other cases specified in Article 6.22810(2) of the Civil Code of the Republic of Lithuania, the Retail Trade Rules of the Republic of Lithuania, or other applicable legislation.

6. RETURNS AND EXCHANGES

6.1.

Goods purchased at the JANITAPLUNGE.COM online store may be returned in accordance with the procedure set out in these Return Policy terms (hereinafter — the Rules).

I. Returns of non-defective goods

Non-defective goods purchased at JANITAPLUNGE.COM may be returned for any reason within 30 (thirty) days of receipt. Returned goods must be:

  • In undamaged packaging (excluding opening to the extent necessary to inspect the goods);
  • Clean, with original labels or other markings, intact protective film, and all parts and accessories included in the product;
  • Unused and in their original condition.

If returned goods do not meet the above conditions, we reserve the right to refuse the return.

II. Returns of defective goods

Defective goods purchased at JANITAPLUNGE.COM may be returned by specifying the defect, in accordance with these Rules and the Civil Code of the Republic of Lithuania. Upon receiving the defective item and assessing the defects, if they are genuine and not caused by the Buyer, JANITAPLUNGE.COM will refund the amount paid.

7. PROCESSING OF THE BUYER'S PERSONAL DATA

7.1. The Buyer's personal data is processed in accordance with the JANITAPLUNGE.COM Privacy Policy.

8. FINAL PROVISIONS

8.1. The parties agree to cooperate in fulfilling their obligations under this Agreement.

8.2. The parties agree to act prudently, honestly, and diligently in fulfilling their obligations under this Agreement.

8.3. Either party is released from liability for failure to fulfil its obligations if it proves that such failure was caused by force majeure circumstances that it could not have avoided or overcome.

8.4. A party unable to fulfil its obligations due to force majeure must notify the other party as soon as possible, including when the grounds for non-performance cease to exist. Failure to notify in time makes the non-performing party liable for losses that could otherwise have been avoided.

8.5. All notices related to this Agreement or the enforcement of claims arising from it must be in writing. The Seller sends all notices to the Buyer's email address or phone number provided during registration; the Buyer sends all notices and enquiries via the contact details provided under the "Contacts" section of the JANITAPLUNGE.COM online store. Notices sent by email are deemed received on the day of sending, if sent during business hours. Notices sent by registered post are deemed received five business days after dispatch.

8.6. The relations arising from this Agreement are governed by the law of the Republic of Lithuania. Disputes between the parties shall be resolved by a competent court of the Republic of Lithuania.

8.7. The Seller's costs related to debt recovery from the Buyer shall be covered by the Buyer.

8.8. The Buyer may submit complaints to the Seller within 14 days of receiving the goods by email at info@janitaplunge.com. The Seller undertakes to respond to the Buyer's complaint no later than 30 days after receipt.
